When a single-deal SPV fits a startup transaction

A single-deal SPV lets a defined group of investors pool capital for one startup investment. The SPV makes the investment, so the startup can record one investor on its cap table rather than each participating angel, family office, or syndicate member. Unlike a standing fund, the vehicle is organized around a specific transaction. If you expect to make repeated investments, a fund structure may deserve a separate review.

Best for: An angel syndicate, family office, or emerging manager pooling capital for one identified startup investment. Before forming the entity, you need to decide who can commit it to the deal, what rights investors retain, and how costs and proceeds will be shared. Those decisions depend on the proposed terms, not on a standard filing template.

Zecca Ross Law Firm provides senior-attorney guidance on those choices as a lawyer-led alternative to self-serve documents. We can review your proposed investment and discuss whether a defined flat-fee scope fits the work.

Choosing and forming the Delaware entity

A Delaware LLC often fits a single-deal investment SPV when investors want one entity to hold the startup investment and a manager to handle the transaction. A Delaware limited partnership can fit a sponsor that prefers a general partner and limited partner structure. That choice also requires counsel to consider who will serve as general partner and how that role will be organized.

Entity Best for Governing document
Delaware LLC Investors who want flexible manager authority and member rights An operating agreement sets decision-making rules and economic terms.
Delaware LP Sponsors who want a general partner to manage the investment for limited partners A partnership agreement defines the general partner’s authority and limited partners’ rights.

The certificate filing creates the entity, but the governing agreement determines how it operates. Before investors subscribe, Zecca Ross Law Firm helps you document who may approve the startup investment, sign amendments, handle follow-on decisions, and authorize distributions. The agreement should also address investor information rights, transfers, manager removal, expenses, and what happens if the proposed deal does not close. A template can leave those decisions unclear when investors expect different rights.

Formation begins with choosing the structure, appointing a Delaware registered agent, and filing the appropriate certificate. Counsel then prepares the governing agreement around the proposed deal rather than treating the filing as the finished work. Budget for the registered agent and applicable Delaware entity obligations while the SPV remains active. Delaware’s annual tax and filing information can help you identify requirements for the chosen entity. Creating an LLC or LP does not, by itself, establish a securities offering exemption for raising capital from investors.

Structuring the raise: subscriptions, questionnaires, and securities compliance

Before an investment SPV accepts money, Zecca Ross Law Firm reviews who plans to invest, how the sponsor will approach them, and what the vehicle will buy. Investor questionnaires gather facts needed to assess eligibility. Subscription agreements record each investor’s commitment, representations, and conditions for acceptance. We review those documents alongside the proposed offering materials so investors receive terms that match the transaction.

Forming a Delaware LLC or limited partnership does not create a securities exemption. The SEC distinguishes the offering’s Securities Act exemption, the vehicle’s Investment Company Act status, and the manager’s Investment Advisers Act obligations. No exemption applies automatically. Rule 506(b) generally prohibits general solicitation. Rule 506(c) permits it, but imposes other conditions, including verification of accredited-investor status. Counsel must also assess whether investor-count or qualified-purchaser requirements affect a proposed investment-company exclusion and whether the manager faces adviser registration requirements or qualifies for an exemption.

Before funds move, we check the questionnaires against the chosen offering approach and review applicable state requirements based on where investors reside. Delaware Rule 503 illustrates why a state exemption requires its own analysis. Its conditions do not replace federal rules or determine what applies in another state. For domestic and international investors alike, counsel should check that the offering documents reflect the actual investor group and fundraising plan. Cross-border participation can require additional securities and tax review rather than the assumptions built into a formation template.

Economics: fees, carry, and the distribution waterfall

An SPV’s governing agreement should tell investors what the manager can charge before anyone commits capital. A management fee might be charged once or periodically. The agreement should specify how to calculate and pay it, along with whether the SPV pays formation and operating expenses. Zecca Ross Law Firm documents those terms in the Delaware LLC operating agreement or, for a limited partnership, the partnership agreement.

Carried interest gives the manager an agreed share of profits, if the investment produces them. Investors should also see the distribution waterfall, which sets the order for paying expenses, holding reserves, returning investor capital, and dividing any remaining proceeds. The agreement needs to address partial exits as well as a final sale, since the SPV may receive proceeds at different times.

Legal fees deserve the same clarity. Zecca Ross can discuss a defined flat-fee or capped-fee scope for the proposed work, including what falls outside it. A defined scope ties the fee to identified legal work and gives the sponsor a clearer budget while preserving direct attorney guidance. Work outside that scope should be discussed before it begins.

Executing the investment: SAFEs, notes, and equity

An SPV can invest through a SAFE, a convertible note, or a priced equity purchase. Zecca Ross Law Firm reviews the startup’s financing documents before you commit capital, because the signed terms determine when the SPV receives shares, what rights it holds, and what happens if a later financing or sale never occurs.

Instrument Conversion or ownership Investor protections Timing
SAFE The SPV may receive shares after a triggering event under the agreement’s conversion terms. Rights such as information access or participation in later rounds require review of the signed documents. Funding can precede a priced round, but conversion may depend on a future event.
Convertible note The SPV lends money that may convert into shares under specified conditions. Counsel reviews interest, maturity, repayment, conversion, and any negotiated rights. Conversion may occur at a later financing. The note may mature first.
Priced equity The SPV purchases shares at an agreed price and receives ownership at closing. The share class and transaction documents determine voting, information, and other rights. The SPV receives its shares when the purchase closes.

Before closing, counsel should compare the proposed investment agreement with the startup’s charter, capitalization records, and existing financing documents. Outstanding SAFEs or notes can affect the SPV’s eventual ownership, while existing investor rights may limit what the startup can offer. Zecca Ross also reviews required company approvals and closing conditions. A term sheet alone does not establish that the startup can issue the securities on the proposed terms.

A side letter can give the SPV a negotiated right that the main agreement does not provide, but counsel should check who must sign it and whether it conflicts with other documents. Template terms are a starting point for review, not a substitute for checking the particular startup and transaction.

Closing the transaction

An SPV closing brings investor commitments and the startup investment together. Zecca Ross Law Firm coordinates executed subscription and governance documents, confirms that required investor funds have reached the SPV, and checks the conditions for accepting each subscription. Before the SPV sends its investment, counsel reconciles the amount available to invest with expenses and any amounts the governing documents require the SPV to retain.

At the deal closing, the authorized SPV manager signs the investment documents and releases funds under the agreed closing instructions. Counsel confirms that the startup receives the investment and that the SPV receives the securities or contractual rights specified in those documents. The signed agreements determine when investor rights, manager authority, fees, and distribution terms become binding. Counsel should resolve any mismatch between those agreements and the funds-flow instructions before money moves.

Distributions and winding down the SPV

A liquidity event does not close the SPV automatically. Zecca Ross Law Firm helps the manager account for proceeds, unpaid expenses, and any escrowed or contingent payments before distributing available funds under the operating agreement’s waterfall. If the proposed investment never closes, the governing documents control how the manager returns unused capital after addressing the SPV’s obligations.

Before winding down, the manager should settle or reserve for remaining liabilities and coordinate final filings and applicable investor tax reporting with the SPV’s tax preparer. Each investor should ask their own tax adviser how the transaction and distributions affect them. Counsel can then prepare the required approvals and Delaware cancellation filing once the SPV no longer needs to hold assets or receive payments. Formal cancellation can end future registered-agent charges and state obligations, subject to applicable filing dates and any liabilities that remain.

Lawyer-led SPV formation vs. self-serve documents

Services such as promise.legal and Clerky may provide templates for entity documents, but a template cannot determine who should control your SPV or which securities rules apply to your raise. Zecca Ross Law Firm reviews the proposed deal, documents negotiated investor rights, and helps carry those decisions through closing.

Investor concern Template or self-serve formation Lawyer-led formation
Governance documents Standard terms may leave manager powers or voting rights poorly matched to the deal. Counsel drafts terms around the manager’s authority and investors’ agreed rights.
Securities compliance Forms do not determine which offering rules apply. Counsel reviews the proposed raise and its facts before investors subscribe.
Investor rights Standard documents may not address negotiated information or consent rights. Counsel documents negotiated rights and checks them against the SPV’s other agreements.
Fee transparency A filing price may exclude offering documents or closing work. You can agree on the legal scope and pricing before work begins.
Support through wind-down Platform support may end after formation. Counsel can assist with closing, distributions, and dissolution.

Zecca Ross Law Firm offers a boutique, lawyer-led alternative to BigLaw firms such as Cooley for a defined SPV engagement. Ask about senior-attorney involvement, whether a flat or capped fee fits the proposed scope, and which services remain outside it, including work after the entity filing.

Frequently asked questions

Should we use a Delaware LLC or LP for a one-off investment? A Delaware LLC can give a manager authority to run a single-deal SPV while defining investor rights in its operating agreement. An LP may fit investors who prefer a general partner and limited partner structure. Zecca Ross reviews the sponsor’s role and proposed terms before recommending either structure.

Does forming a Delaware SPV guarantee a securities exemption? No. Entity formation does not determine whether the investor offering qualifies for an exemption. Zecca Ross reviews how you plan to raise capital, who may invest, and whether fund and adviser rules apply. The SEC treats those as separate legal questions.

Who sets management fees and carried interest? The sponsor proposes the economics, and investors decide whether to accept them. SPV legal counsel documents fees, expenses, carried interest, and the order of distributions so each investor can review the terms before committing.

What happens if the startup investment falls through? The governing and subscription documents should say how the SPV handles unused contributions, incurred expenses, and outstanding obligations. Zecca Ross can address that possibility before investors fund the vehicle rather than leave the manager to resolve it afterward.

How does this page differ from the firm’s how-to guide? The how-to SPV guide explains formation steps. This page describes how Zecca Ross Law Firm advises investors from structuring a proposed deal through closing and wind-down.
